WAA Board of Directors Election Process - 2009

A number of Board positions are filled by election each year. This section describes the details of the nomination and voting process. Web Analytics Association Bylaws should also be reviewed to understand additional requirements and obligations.

Current information about the election process, eligibility, and nominations will be maintained on a dedicated page on the Web Analytics Association Web site.

1.1 Vote Administration

In order to maintain impartiality, the vote will be administered by Virtual, Inc., (the “Vote Administrator”) Web Analytics Association’s management company.

1.2 Nominating Committee

The Nominating Committee will schedule a conference call the week of January 19, 2009 to determine any additional criteria for eligibility and submitting qualifications for nomination as a Web Analytics Association elected Director.

Requirements for New Nominees:

  • Paid member of the WAA.
  • 4 years industry experience as a practitioner, consultant, vendor or educator in digital marketing.
  • Exemplifies leadership qualities by way of teaching, presenting, writing or dedicating volunteer time to the benefit of the web marketing or web analytics industries.
  • Provides an up to date resume that summarizes work and education history and provides authorization to edit and publish for review by members.
  • Provides a letter describing why they should be nominated and responds to nominee questions.
  • Strong communication skills.
  • Proven managerial experience.
  • Is able to commit 15 to 20 hours per month to activities related to their role on the board and signs acknowledgement of roles and responsibilities.

Requirements for Directors Seeking Re-election:

  • Paid member of the WAA.
  • Provides an up to date resume that summarizes work and education history; up to date profile and picture if necessary.
  • Summary of contributions to the WAA to date in current and/or previous role on the Board with authorization to edit and publish for member review.

The Nominating Committee will designate three different sectors from which Board members will be elected:

  • Products or Services
  • Consulting or Academia
  • Practitioners

1.3 Nominations

Nominations for the Web Analytics Association Board will be accepted from 12:00 GMT on Monday, February 16, 2009 through 23:59 GMT on Friday, February 27, 2009 ("End of Nominations").

Nominations will be accepted by emails submitted to the Vote Administrator at LDesantis@virtualmgmt.com.

Members are allowed to nominate themselves for election. In this case, both the nomination and acceptance may be sent in the same communication.

Nominees will self-identify into one of the three “sectors” listed above.

1.4 Accepting Nominations

On receipt of the nomination, the Vote Administrator will contact each nominee to verify that they were aware of the nomination, accept the nomination, and are willing to put in the time commitment required. On receipt of an affirmative response to all three questions, the individual will be added to the nominee list which will be forwarded to the Nominating Committee for review to ascertain that all eligibility requirements have been met. The Nominating Committee will schedule a conference call the week of March 2, 2009 to prepare the slate of nominees to present to the membership.

1.5 Submitting Qualifications

Subsequent to meeting the eligibility requirements, the nominee must provide background information supporting their nomination as a member of the Web Analytics Association Board. Background material should not exceed 1000 words.

The following information should be provided:

  • General Information:
    • Nominee name
    • Nominee job title
    • Nominee company
    • Country in which company is located
    • Nominee Sector – Product or Services; Consulting/Academia; Practitioners
    • General background/bio
  • Questions:
    • What major contribution will you bring to Web Analytics Association and its membership?
    • Why should members vote for you?
    • Where do you think the Web Analytics Association should be in the next two years?
    • What is the biggest challenge facing the digital marketing industry?

In addition to providing answers in writing, each nominee will be invited to prepare a brief recorded interview segment. Their individual answers - and the additional background material - will provide a comprehensive profile of each of the candidates. All this material will be posted to the Web Analytics Association member website, and linked from the election page.

Material must be submitted to the Vote Administrator by 23:59 GMT on Monday, March 9, 2009 in order to be included on the website.

1. 6 Posting of Nominees and Qualifications

No later than one week prior to the start of the voting period, the list of nominees and the supporting background material provided will be posted to the Web Analytics Association member website. This information will be available to all Web Analytics Association members for review and consideration.

1.7 Soliciting Support

The supporting biographical material provided as a part of nomination acceptance, along with demonstrated participation and leadership in Web Analytics Association Committee or Working Group activities is expected to be sufficient information about the candidate's qualifications to make a voting decision.

Web Analytics Association email lists should not be used to announce or solicit support for election. Questions or clarifications on process or execution should be directed to the Vote Administrator at LDesantis@virtualmgmt.com.

1.8 Voting Period

Voting will open on Friday, March 27, 2009 at 12:00 GMT. Voting will close at 23:59 GMT on Friday, April 10, 2009. Only votes received during this time will be counted as cast.

1.9 Voting Members

The Web Analytics Association membership team maintains a database of voting members. Prior to the voting period, a communication will be sent via electronic mail to notify members of the voting period.

The set of members eligible to vote in a Director election are those that were in Web Analytics Association good standing at the start of the voting period.

1.10 Ballots

A link to the online ballot will be sent via electronic mail to all voting members at the start of the voting period. A reminder email will be sent at the start of the second week of the voting period and twenty four hours prior to the close of the voting period.

1.11 Casting Ballots

Votes may be cast electronically, as administered by the Vote Administrator.

Each voter will be asked to vote for up to two candidates in each of the following sectors:

  • Products or Services
  • Consulting or Academia
  • Practitioners

The two candidates with the greatest number of votes in each sector will be elected to the Board.

To cast a vote, the Voting Member should submit an online ballot via Web Analytics Association Website. All votes cast will remain confidential.

Votes must be cast before the close of the voting period. If a confirmation reply is not received, the ballot should be resent or the Vote Administrator should be contacted at LDesantis@virtualmgmt.com to ensure that the vote is received and counted.

1.12 Result Posting and Notification

After the close of voting, the Vote Administrator will deliver the election results to the Board Chair. The Board chair will contact those candidates who have been elected. Details of vote counts or the order of the other candidates will not be published.

1.13 Announcement of New Directors

Candidates who have been elected will be announced to the membership and officially take office at the Spring Board of Directors face to face meeting during the eMetrics Marketing Optimization Summit in May 2009.  New Directors are asked to make every effort to attend this meeting.  Travel expenses will covered by the WAA.  Based on schedule requirements, the Web Analytics Association Chairman or delegated individual will hold an 'orientation' conference call or meeting to discuss the current board processes, meeting schedules, and activities, and will subscribe the new directors to the appropriate mailing lists.  Access to Board mailing lists, document stores, and other resources will be provided following the announced slate at the Annual General Meeting.
